What is a Board of Directors?


A corporation, whether for-profit or nonprofit, is required to have a governing Board of Directors. The laws governing an organization such as the Y require that a organization ultimately is accountable to its owners, the public with nonprofits. That accountability is accomplished by requiring that each corporation has a Board of Directors that represents the public.

Members of a governing Board have certain legally required duties, including duties of care, loyalty and obedience per governing laws of the State and Federal Government.  The position of Board Member is that of a volunteer, it is not a compensated position. 


What is a Board of Trustees?


A corporation, whether for-profit or nonprofit, may have a Board of Trustees to manage the foundation and supervises the solicitation and disbursement of donations.
